These Terms of Use (“Terms”) govern your access to and use of TripWays.com and related web pages, features, content, and services (collectively, the “Website”).

TripWays.com is operated by All Seen LLC, a Delaware limited liability company (“All Seen,” “TripWays,” “we,” “us,” or “our”).

By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. Definitions

• Customer / you: A person who visits the Website, creates an account, requests information, or makes a booking.
• Supplier / Vendor: A third-party tour operator, activity provider, accommodations provider, transportation provider, or other travel service provider whose offerings may appear on the Website (including via third-party marketplaces).
• Vendor Content: Content provided by Vendors or other third parties, including tour descriptions, policies, availability, pricing, photos, and other listing data.
• User Content: Content you submit to the Website, including reviews, photos, messages, form submissions, and uploads.

2. Permitted Use

The Website is provided only to:

• Browse and obtain travel information;
• Request quotes and itineraries;
• Create an account;
• Make lawful bookings for yourself or another person with that person’s permission; and
• Communicate with TripWays about travel services.

3. Prohibited Use

You may not (and may not assist others to):

• Violate any law or regulation;
• Use the Website for hacking, phishing, credential stuffing, scraping, data-mining, or bypassing security measures;
• Copy, reproduce, republish, sell, resell, or exploit any portion of the Website except as expressly permitted;
• Use bots or automated means to access the Website (except standard search engine crawlers) without our written permission;
• Interfere with or disrupt the Website, servers, or networks;
• Submit false, misleading, or fraudulent information;
• Infringe, misappropriate, or violate any intellectual property, privacy, or publicity rights; or
• Use the Website for your own commercial purposes (including building competing databases or training AI models on our or our Vendors’ content) without our written permission.

4. Accounts and Security

If you create an account, you are responsible for maintaining the confidentiality of your credentials, all activity under your account, and promptly notifying us of unauthorized access. We may suspend or terminate accounts to protect the Website, users, Vendors, or TripWays.

5. Marketplace / Third-Party Services

Some services shown on the Website are offered and fulfilled by Vendors or third-party marketplaces (e.g., Bokun suppliers). TripWays may act as an intermediary that facilitates discovery, booking, customer support, and communications, and in that role TripWays functions as a distribution channel for Vendor offerings and Vendor Content. Unless we expressly state otherwise in writing, TripWays does not own, operate, or control Vendors’ services and is not responsible for Vendors’ acts or omissions. Vendor terms, policies, and requirements may apply; you agree to comply with them.

6. Pricing, Availability, and Content Accuracy

We strive to present accurate information, but travel content can change frequently. Prices, availability, inclusions, and policies may change and may be subject to corrections. If a material change affects your booking, we will work with you and the relevant Vendor or marketplace under the applicable policies.

7. Payments and Charge Authorization

If you submit payment information through the Website, you authorize TripWays and/or its payment processors to charge your payment method in accordance with the payment option you select (e.g., deposit or full payment), applicable taxes/fees, and the applicable cancellation/change policies. If we cannot charge your payment method when due, the booking may be canceled.

8. Ownership; Vendor Content; License Grants

8.1 Our materials

TripWays owns or controls the TripWays platform—including the Website’s design, software, code, look-and-feel, TripWays trademarks and logos, and the proprietary selection, arrangement, and compilation of information on the Website (excluding underlying Vendor Content and third-party licensed assets, which remain with their owners or licensors). Those platform elements are owned by or licensed to All Seen LLC and are protected by intellectual property laws.

Some imagery or media on the Website may be used under license from stock or creative marketplaces (for example, Envato) or similar licensors; all rights in those assets remain with their respective creators or licensors except as expressly licensed to TripWays.

8.2 Vendor Content

Vendor Content is owned by the applicable Vendor or its licensors. TripWays does not claim ownership of Vendor Content. Vendors are solely responsible for ensuring they have the rights and permissions needed for TripWays to publish, display, and distribute Vendor Content (including photos and other media) through TripWays and third-party distribution partners. Tour-related descriptions, titles, photos, and similar listing materials are used on the Website under licenses from Vendors (and, where applicable, their stock or agency licensors), as described in our vendor-facing terms and marketplace policies.

8.3 License you grant to TripWays (User Content)

By submitting User Content, you grant TripWays a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for formatting and display), translate, publish, publicly perform, publicly display, distribute, and otherwise use your User Content in connection with operating, improving, marketing, and providing the Website and TripWays services. You represent and warrant you have all rights necessary to grant this license.

8.4 Reviews and feedback

Reviews and feedback are public and non-confidential. You agree TripWays may use them without compensation to you, and you waive any “moral rights” you may have to the extent permitted by law.

9. Intellectual Property Complaints (DMCA)

If you believe content on the Website infringes your copyright, please follow the process described on our Copyright Complaints page.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy.

11. Disclaimers

THE WEBSITE AND ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIPWAYS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TRIPWAYS DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TRIPWAYS (INCLUDING ALL SEEN LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE WEBSITE OR ANY VENDOR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TRIPWAYS’ TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE WEBSITE WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE AMOUNT OF FEES YOU PAID TO TRIPWAYS (IF ANY) IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations; where so, the above limits apply to the greatest extent permitted.

13. Indemnification

You agree to defend, indemnify, and hold harmless TripWays (All Seen LLC) and its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Website, your violation of these Terms, your User Content, or your violation of any law or third-party right.

14. Arbitration; Governing Law; Venue

• Governing law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
• Arbitration: Except for the exceptions below, any dispute, claim, or controversy arising out of or relating to these Terms or the Website will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, in New Castle County, Delaware, in English.
• Exceptions: Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or to prevent unauthorized access, misuse, or disruption of the Website.
• Court venue: To the extent a dispute may be brought in court, you agree to the exclusive jurisdiction of the state or federal courts in Delaware and consent to personal jurisdiction there.

15. Termination

We may suspend or terminate your access to the Website at any time if we reasonably believe you violated these Terms or if needed to protect TripWays, users, Vendors, or third parties.

16. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Website after changes become effective means you accept the updated Terms.
